1. Acceptance of Terms

By accessing or using the StayNex platform ("Platform"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you disagree with any part of these Terms, you may not access our Platform.

Important: These Terms constitute a legally binding agreement between you and StayNex. Please read them carefully.

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through our Platform. Continued use after changes constitutes acceptance of the modified Terms.

2. User Accounts

2.1 Account Registration

To use certain features of StayNex, you must register for an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password
Accept responsibility for all activities under your account
Be at least 18 years of age

2.2 Account Types

StayNex offers three types of accounts:

Publisher Accounts: For property owners and managers listing accommodations
Finder Accounts: For users seeking accommodations
Dual Accounts: For users who both list and seek accommodations

2.3 Account Security

You are responsible for safeguarding your account credentials and for any activities under your account. Notify us immediately of any unauthorized use of your account.

3. Publisher Terms

3.1 Listing Requirements

As a Publisher, you agree to:

Provide accurate and complete property information
Use current, high-quality photos that accurately represent the property
Disclose any material information about the property
Maintain availability calendars accurately
Honor published rates and availability

3.2 Property Standards

All listed properties must:

Comply with all applicable laws and regulations
Meet basic safety and habitability standards
Have necessary permits and licenses for short-term rentals where required
Not violate any third-party rights

3.3 Booking Management

Publishers are responsible for:

Responding to booking inquiries promptly
Honoring confirmed bookings
Providing clear check-in instructions
Addressing guest concerns during their stay

Note: StayNex acts as a platform connecting Publishers and Finders. We are not a party to rental agreements and do not guarantee property conditions or guest behavior.

4. Finder Terms

4.1 Booking Process

As a Finder, you agree to:

Provide accurate guest information
Read property descriptions and rules carefully before booking
Respect property rules and host requirements
Communicate with Publishers through the Platform

4.2 Payment Obligations

You are responsible for:

Paying all charges associated with your booking
Understanding cancellation policies before booking
Paying any security deposits if required
Additional charges for damages or rule violations

4.3 Property Use

During your stay, you agree to:

Treat the property with care and respect
Follow all house rules
Not exceed the maximum number of guests
Not engage in illegal activities on the premises
Leave the property in good condition

5. Payments & Fees

5.1 Service Fees

At this time, StayNex does not charge any service fees for using our platform. Both publishers and finders can access our basic services without paying platform fees, listing fees, or booking commissions.

Note: StayNex reserves the right to introduce fees for premium features or services in the future. Any such changes will be communicated to users with at least 30 days' notice.

5.2 Payment Processing

We use third-party payment processors to handle transactions. By using our Platform, you agree to their terms and conditions.

5.3 Refunds and Cancellations

Refund and cancellation policies are set by individual Publishers. Finders should review these policies carefully before booking.

5.4 Taxes

Publishers are responsible for collecting and remitting any applicable taxes. StayNex is not responsible for tax compliance or providing tax advice.

6. Content Policy

6.1 User Content

Users may post content including property listings, reviews, and messages. You retain ownership of your content but grant StayNex a license to use it to operate the Platform.

6.2 Prohibited Content

You may not post content that:

Is false, misleading, or fraudulent
Infringes on third-party rights
Contains hate speech or promotes violence
Is sexually explicit or pornographic
Contains spam or unauthorized advertising

6.3 Reviews

Reviews must be:

Truthful and based on actual experience
Relevant to the property and stay
Not defamatory or abusive

StayNex reserves the right to remove any content that violates these Terms.

7. Liability and Disclaimers

7.1 Platform "As Is"

StayNex provides the Platform on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted or error-free.

7.2 Limitation of Liability

To the fullest extent permitted by law, StayNex shall not be liable for:

Any indirect, incidental, or consequential damages
Disputes between Publishers and Finders
Property conditions or guest behavior
Third-party services or products

7.3 Indemnification

You agree to indemnify and hold harmless StayNex from any claims arising from your use of the Platform or violation of these Terms.

8. Termination

8.1 By User

You may terminate your account at any time by contacting us or through your account settings.

8.2 By StayNex

We may suspend or terminate your account if you:

Violate these Terms or applicable laws
Create risk or possible legal exposure for StayNex
Engage in fraudulent or misleading activities
Fail to pay fees when due

8.3 Effect of Termination

Upon termination:

Your right to use the Platform immediately ceases
Active bookings may be canceled according to our cancellation policy
You remain liable for any outstanding obligations

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by the laws of Nepal, without regard to its conflict of law provisions.

9.2 Dispute Resolution

Any disputes shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to mediation in Kathmandu, Nepal.

9.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

10. Miscellaneous

10.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and StayNex.

10.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

10.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
